Ommify (referred to as the "Platform" or "Mobile Application") is a website and mobile-based service operated by Ommify Technologies Private Limited, located at 701 NDM-2 Netaji Subhash Place, New Delhi-110034, India.

This Terms of Service agreement is a legally binding contract between you (the registered or unregistered user of the platform) and Ommify. It outlines the terms and conditions for accessing and using the platform, including our websites, services, applications, products, and content (collectively referred to as the "Services").

By accepting these terms, either directly or indirectly (e.g., by clicking the "I Agree" button, using the platform, or creating an account), you agree to abide by these terms, which will govern your use of the platform and its services.

This document is an electronic record under the Information Technology Act, 2000, and the applicable rules, including the provisions related to electronic records as amended. It is generated by a computer system and does not require a physical or digital signature.

Important Notice :

This document does not comply with the General Data Protection Regulation 2016/679 ("GDPR"). Therefore, if you are a resident of the European Union ("EU"), you acknowledge that our services are not available in EU territories, and we do not guarantee compliance with GDPR.

Please read this document carefully. By using the platform and our services, you confirm that you understand, agree to, and accept these terms. If you disagree with any part of this document, please do not use the platform. By using the platform, you give your unconditional consent under Section 43A and Section 72A of the Information Technology Act, 2000, for us to access and use the personal information you voluntarily provide.

By providing your information or using the platform and its services, you agree to the collection, storage, processing, and transfer of your personal and non-personal data as outlined in this document. You further agree that this data handling will not result in any loss or wrongful gain to you or anyone else.

These Terms of Use and the services provided are intended solely for organizations, entities, and companies (legal persons), and not for individual consumers (those acting outside of economic activities). Minors under the age of 18 are not permitted to use the platform. The entity you represent must be legally incorporated.

If you are using the platform on behalf of a company or organization, you confirm that you have the authority to bind that entity to these Terms of Use. Your access to the platform and use of services is also governed by our Privacy Policy, both before and after signing up. You agree that all communications from us, such as agreements, notices, and disclosures, provided electronically, will meet any legal requirements for written communications.

Before you use or subscribe to the platform, you confirm that you have fully read, understood, and accepted these Terms of Use, including any future updates. We encourage you to review the Terms regularly, as updates may occur. Your continued use of the platform after updates will be considered your acceptance of the new Terms. If you disagree with any updates, you may no longer use the platform or services.

We may periodically release new versions of the platform or introduce new services, which will be subject to these Terms of Use and any additional terms specific to those new versions or services.

The Platform provides Users who subscribe to our plans with access to a secure, cloud-based software that consolidates all client communications into one platform, using the WhatsApp Business API ("OMMIFY Services"). You acknowledge that the functionality of the Platform depends on the WhatsApp Business API, and any modifications to this API may affect or hinder our ability to deliver OMMIFY Services. The Platform does not control the delivery or technical setup of the WhatsApp Business API.

OMMIFY Services are designed exclusively for business use or internal operations within the organization or entity the Users represent, and are not intended for personal or household use. The OMMIFY Services should only be used for their intended purposes. Users are responsible for ensuring they have the necessary internet access and equipment to use OMMIFY Services.

OMMIFY Services include, but are not limited to:

1. Chatbot

By installing the OMMIFY WhatsApp Chatbot, you can create a digital assistant for your business, allowing for automatic responses to customer inquiries.

2. Multiple Agents

Depending on your subscription plan, you can add multiple agents (e.g., employees) to your WhatsApp workspace, allowing for team collaboration.

3. Private Notes

Authorized employees can add private notes to conversations and contacts, ensuring controlled access to sensitive information within your organization.

4. Sharing Contents

You can create and share various types of content—such as text messages, images, videos, locations, contacts, audio, and more ("Your Content")—with clients and other recipients.

5. WhatsApp Message Templates

You have the ability to create custom WhatsApp Message Templates, which must be approved by WhatsApp. You acknowledge the related pricing and are responsible for paying OMMIFY for the use of these templates.

To access OMMIFY Services, you need to sign up by following these steps:

1. Visit the Platform’s website (https://OMMIFY.com) and enter your work email and active mobile number to start a free trial.
2. You will be redirected to our Sandbox account, where you'll link your WhatsApp number to our shared Sandbox number.
3. Provide additional information about your business, such as:
   1. Name of Your Business/organization
   2. Business category
   3. Website
   4. Registered address
   5. Contact number
4. Apply for the WhatsApp Business API through OMMIFY’s portal and opt for assisted onboarding, where our team will provide demos to help you get started.
5. After the demos, you’ll receive an OMMIFY Onboarding Guide via email, requesting additional information such as business documents, utility bills, social media credentials, and the WhatsApp number to integrate.
6. Once you submit the guide and accept the Terms of Use, we will send it to WhatsApp for review. Upon approval, you’ll receive an OTP and sign-up link to create your account and start using OMMIFY Services.

After receiving the sign-up link, you will be redirected to the website to create your account on the platform. By doing so, you confirm that you are an authorized representative of the entity listed in the account and that all the information you provide is accurate and complete.

You are responsible for keeping your login credentials secure and must notify us immediately if you notice any unauthorized use of your account. If any of the information you provided is found to be false or incomplete, we reserve the right to suspend or terminate your account.

You are required to select a suitable subscription plan as listed on the Platform's pricing page (https://OMMIFY.com/pricing). Please note that subscription fees are non-cancellable and non-refundable. Your subscription will automatically renew unless you cancel or provide written notice of non-renewal at least 30 days before the end of the subscription term.

We accept payments through services like RazorPay and Stripe, supporting various payment methods such as credit cards, debit cards, net banking, and UPI. You are responsible for paying any applicable taxes and charges related to WhatsApp Message Templates.

OMMIFY collaborates with WhatsApp Business Service Providers to offer services through the platform. We are not liable for the use of the WhatsApp API or any related policies. You must comply with WhatsApp‘s terms and policies, and any violations may lead to the suspension or termination of your WhatsApp account.

After registering on our platform, you cannot use the WhatsApp number registered with us on any other platform.

You are responsible for keeping your login credentials secure and must inform us immediately if you suspect any security breach. If we believe that your credentials are being misused, we have the right to suspend access to your account.

When you create an account, you agree to receive notifications from us, such as service updates, marketing messages, and other communications. Some of these notifications are required, and you cannot opt out of them. If you no longer wish to receive them, you must stop using the platform.

By agreeing to this, you allow us to keep and share your account information with third parties as outlined. You also consent to receiving promotional messages from us and our partners. Additionally, you are responsible for any communications you receive from third parties related to the platform.

WhatsApp Message Template

1. WhatsApp Message Template Policy

   1. WhatsApp can change the types of acceptable messages and related policies whenever they choose.
   2. You are only allowed to start conversations using WhatsApp-approved message templates, which must follow WhatsApp's terms and can only be used for their intended purposes. WhatsApp can review, approve, or reject any template at any time.
   3. You are responsible for any costs related to WhatsApp Message Templates, which will be billed by us. Since February 1, 2022, WhatsApp has switched to a conversation-based pricing model.

2. Platform Access and Use of Services

   You must not use the Platform or Services to host, display, upload, modify, publish,transmit, store, update, or share any content that:

   1. Using someone else’s property or content without their consent.
   2. Sharing content that is harmful, inappropriate, explicit, or disrespectful of someone's privacy.
   3. Distributing content that is harmful to children or inappropriate for minors.
   4. Violating intellectual property rights by using or copying patents, trademarks, copyrights, or other protected works without permission.
   5. Engaging in activities that break any existing laws or regulations.
   6. Misleading people about the origin of a message or sharing false information that appears to be true.
   7. Pretending to be someone else or impersonating another individual.
   8. Harming India's unity, defense, or security, disturbing public peace, or disrespecting other countries.
   9. Sending or distributing viruses, malware, or harmful software designed to damage or disrupt computer systems.
   10. Spreading false or misleading information to intentionally cause harm or financial loss.
   11. Sharing illegal information that breaks laws about sovereignty, security, public safety, or encourages illegal actions.
   12. Posting private information of others, such as addresses, phone numbers, or other personal details without consent.

   You agree not to engage in the following activities on the Platform:

   1. You should not interrupt normal conversations, cause endless scrolling, or interfere with other users' interactions.
   2. You must not interfere with the platform, its servers, or any connected networks.
   3. You agree to comply with all local, state, national, or international laws, including those set by Indian authorities.
   4. You will not engage in fraudulent or unlawful activities on the platform.
   5. You are prohibited from making unauthorized copies, modifying, reverse engineering, or deriving works from the platform's services.
   6. You cannot distribute, license, transfer, or sell any part of the platform's services.
   7. You are not allowed to market, rent, or lease the services without express written consent.
   8. You cannot use the services for unauthorized commercial purposes or send spam.
   9. You must not integrate the platform’s services into any other program or product.
   10. You must not pretend to be someone else or falsely claim to be connected to any organization.
   11. Impersonate others or falsely represent your affiliation with any entity.
   12. You agree not to violate or steal the intellectual property rights of others. .
   13. You will not attempt to use another user’s account or create a false identity.
   14. You cannot sell advertising or promotions related to the service without proper authorization.

   You are required to follow our Privacy Policies, which may be updated from time to time.

   You are entirely responsible for all the information you send through the Platform. While your messages on WhatsApp Business are encrypted and we cannot access them, failing to follow these Terms of Use may lead to the cancellation of your registration or limited access to the Platform, without any prior notice.

   The Platform may include content from third parties or links to external websites. We do not have control over such content and cannot guarantee its accuracy or availability. It is your responsibility to review the privacy policies and terms of use of any third-party content before using it.

   By using the Platform, you agree to release us from any liability that may arise from your interactions with third-party content.

3. Personal Data Protection

   Personal Data Handling:

   1. We will use or disclose your Registration Data only when it's needed to fulfill our obligations.
   2. Your Personal Data will not be shared with third parties without your prior written consent, except under certain conditions.
   3. We implement security measures to protect your Personal Data from unauthorized access or disclosure.
   4. If there is a security breach involving your data, we will promptly investigate, correct the issue, and notify you.

4. Intellectual Property Rights and Platform License

   1. The intellectual property rights in the platform and its content are owned by us or our licensors and are legally protected.
   2. We grant you a limited, non-exclusive, and revocable license to access and use the Platform for personal use only. This license does not permit resale or commercial use of the Platform.
   3. You are prohibited from reusing or systematically extracting content from the Platform without our permission.
   4. The trademarks and intellectual property of OMMIFY and third parties are protected, and you must not use them without authorization.
